The Main Deed of Mutual Covenant defined the Non-Domestic Portion as four non-domestic units (one per floor) for the purposes of the Building Management Ordinance. Sub-DMCs that apply only to parts of the building do not alter the flats identified in the Main DMC for the purpose of Schedule 11. Therefore only four non-domestic owners could be counted; together with domestic owners and accounting for common ownership, the Tribunal calculated 71 owners in total, requiring a quorum of 8 (10%); only 5 qualified owners were present; the 4 August 2012 resolutions were therefore invalid and void.
