Defendant failed to establish any credible or legally tenable triable issue of set‑off or counterclaim based on alleged failures by Brokerage or its employee; there was no pleaded or evidential basis that Mou acted as plaintiff's agent or that plaintiff had any obligation to follow debtor's disposal instructions over securities held as security. Accordingly plaintiff entitled to partial summary judgment for the calculated amount after accounting adjustments.
