Although there were serious issues to be tried on breaches of fiduciary duty, sham transactions and transfers to D3, the plaintiffs failed to demonstrate solid evidence of a present real risk of dissipation of assets; the undertakings offered were adequate protection and the balance of convenience, including likely damage to D3 and the draconian nature of receivership, required refusal of the interlocutory receivership application.
