The Court held the dispute over payment under the Tripartite Agreement arose out of and was closely connected with the First and Second Agreements because the Tripartite arrangements were intended to settle the defendant's debts under those agreements; accordingly the subject matter fell within the arbitration clauses and the stay in favour of arbitration was correctly ordered, so the appeal was dismissed.
