The written guarantee was rejected as unreliable and probably forged and the Plaintiff's evidence was insufficient on many contested factual points, but independent evidence and probabilities established that the parties agreed the purchase price of $3,000,000; the deed of release had been executed in escrow and cancelled; accordingly the Plaintiff was entitled to payment of $3,000,000 and a declaration of a vendor's lien, while claims for reassignment, specific performance, trust, and setting aside the share allotment failed.
