Although GCC 32.5 manifestly expressed an intention to create a trust, the claimed trust failed for uncertainty of subject matter because the retention monies were never segregated nor shown to form an identifiable bulk; the claimant could only point to an amount within HKA's general funds which rendered the trust too vague and unenforceable, so the monies form part of HKA's general assets subject to the sanctioned scheme and the application is dismissed.
