The administratrix was not entitled to be registered because Article 21 and Article 5(b) of the company's articles permit the directors to decline registration in the same manner as with an inter vivos transfer; she was neither an existing member nor within the family member category nor specifically bequeathed the shares, statutory provisions do not confer an absolute right to registration, and there was no estoppel or lack of bona fides by the directors; accordingly the Court of Appeal dismissed the appeal and affirmed refusal to register.
