The exclusive jurisdiction clause in the Trust Agreements is valid and separable, covers disputes about the Trust Agreements including the Plaintiff's challenges, and therefore the Hong Kong proceedings are stayed in favour of the Tokyo District Court; interim relief under s21M that would reconstitute boards and impose directors is refused as unduly intrusive, unnecessary given undertakings and risks causing greater irremediable prejudice and inconvenience.
