The appellants' arrangement was an unlawful attempt to evade the Money Lenders Ordinance: Chung Shing was created and operated in concert with Pak Cheung to obtain and retain borrowers' bank savings passbooks as a source of repayment, thus the passbooks functioned as prohibited securities and the convictions were upheld though reliance on legal advice warranted reduction of sentence.
