On the uncontested evidence (draft minutes, draft SPA, contemporaneous emails and corporate merger/dissolution records) the court found that the Plaintiff is the beneficial owner of the Nominee Share and the Majority Shares and, exercising its discretion under section 633 and having found no competing interest or prejudice, ordered rectification of the register and consequential declarations and directions to give effect to that rectification.
