On the balance of probabilities the loans were advanced to Rockapetta (the holding company/group) despite being recorded in subsidiary accounts, and contemporaneous documents and evidence did not support existence of the alleged Initial or Subsequent Agreements nor fraudulent misrepresentation by Chan; therefore plaintiff was entitled to judgment against Rockapetta for the outstanding loan balance and interest, and the claim against Chan failed.
