The statement of claim was struck out because it disclosed no reasonable cause of action: it failed to plead the necessary material facts, did not establish any duty or relationship owed by the 2nd defendant to the plaintiff, provided no factual basis for the alleged low price or the quantum claimed, and was bound to fail. Public announcements and proper EGM procedures showed the plaintiff had notice and opportunity to participate; the claim was therefore also frivolous. Appeal dismissed and claim (and reply) struck out under Order 18 r 19(1)(a) and (b).
