The Memorandum of Agreement, read with the Protocol of Delivery and Acceptance, demonstrated the parties intended property to pass on delivery (5 October 1982 at 16:30). Therefore property had not passed at the date of issue of the writ (24 September 1982), Blue Ocean remained beneficial owner at that date, and the arrest of the sistership was valid; the motion to set aside must be dismissed.
