The Court of Appeal upheld the Tribunal's factual findings that the respondent released stakeholder funds despite the mortgage redemption exceeding the balance of the purchase price and that he failed to disclose delivery of vacant possession and waiver of redemption to the court, thereby misleading the court; those findings established deceitful conduct and justified the Tribunal's sanctions (three months suspension, HK$50,000 fine and indemnity costs), so the appeal was dismissed.
