Novus had no contractual right to unilaterally reduce the agreed commission or to terminate the distributorship without giving reasonable notice; on the facts reasonable notice was six months; the drawdown on the standby letter of credit was wrongful; no conspiracy to injure by the parent was established; accordingly judgment for the plaintiff against the 1st defendant for US$542,594 plus interest and costs, claim against 2nd defendant dismissed.
