The applicants had capacity and authority to apply; the July 2017 meeting and related notices were invalid or improperly convened and the filings deriving from it were without the companies' authority; continuation of the respondent’s registered directorship would cause material and irreparable harm to the companies and the companies' interest in removal outweighed the respondent’s interest; accordingly the impugned forms must be removed and an injunction issued restraining the respondent from representing himself as director; no court-ordered meetings were necessary.
