The Court upheld the trial judge’s factual findings that the Banking Documents governed the parties’ relationship, that Kong did not make the alleged 6th representations except for using the phrase “砌咗一隻” which objectively meant hand-picking/selecting rather than bespoke structuring, that Sit was not induced to buy the ELNs, and that the appeal failed; consequentially the trial judgment for DBS for US$3,429,724.27 with interest and costs was affirmed and the appeal dismissed.
