The Aidol Quotation was a separate, standalone contract for supply of materials only, omitted the HKCA standard form and was not incorporated into the Sub-Contract; objectively the parties did not intend the Aidol contract to be subject to the Sub-Contract arbitration clause, therefore the dispute does not fall within the ambit of the arbitration agreement and the stay was properly refused.
