The court held that contracts were formed by conduct and accepted rates for invoices 91111, 91112 and 91113 and the Plaintiff proved performance, entitling it to the agreed sums; no contractual price was shown for items in invoice 91114 so recovery on quantum meruit was appropriate; the Defendant failed to prove an agreed basis or imply a term or trade custom that would bar late claims, and such a term (eg a six-month bar) would be unreasonably short and unnecessary for business efficacy; remedies awarded accordingly.
