Plaintiff failed to prove creation of an express trust over the defendant's 50% shareholding; alternatively the evidence established that SIS's beneficial interest was reduced to 18.53% by a 1997 agreement and a 2001 set-off (2nd Confirmation) transferring that interest to VTI China; in any event the claim is barred by laches owing to long predecessor inaction and resulting prejudice—therefore the plaintiff's claim is dismissed.
