Lehman Management failed to prove unfair prejudice; Effiscient established unfair prejudice by Mr Lehman/Lehman Management through misappropriation of company funds, trademark misappropriation, operating competing businesses and a campaign of harassment and intimidation; appropriate relief is that Lehman Management sell its 50% share to Effiscient, with a court‑appointed expert to value the share, damages for specific misconduct to be assessed and set off against the purchase price, and costs to Effiscient.
