The court found the chairman's reasons for rejecting the proxies were invalid and irrational, and that in the particular factual and procedural context it was impracticable to conduct a meeting in accordance with the articles because the chairman had effectively prevented the shareholders' votes; accordingly s570 authorised the court to order an EGM to be convened and to grant ancillary relief, and an interlocutory injunction was appropriate to restrain the remaining directors from acting pending the court‑ordered EGM.
