The court concluded that although Mr Chu improperly assumed conduct of the meeting, the irregularity did not cause prejudice and would not have affected the outcome; accordingly the August EGM resolutions stand and the court will not intervene to set them aside.

The court held that a declaration be made that the 1st defendant ceased to be a director on 7 November 2015 and that rectification (filing a Re-Amended 2016 AR deleting the 1st defendant, filing an ND2A recording his cessation, and amending the 2017 Notice to delete incorrect company secretary information) was sufficient; the company failed to satisfy the higher threshold in s42(4) to justify removal of the 2016 AR or the 2017 Notice from the register and removal was therefore refused where rectification would suffice.
