The court accepted, with reservations, that the 'official' two‑page resolution (Core Bundle p.15/16) was the valid directors' resolution of 3 March 1997 but found the transfer instruments dated/stamped 8 May 1997 to be incomplete, defective and not intended by the deceased to effect transfers; consequently the deceased remained registered as holder of 20 shares at his death and those 20 shares form part of his estate and vest in the plaintiff as Administratrix; CAGL is ordered to register the 20 shares in the administratrix and they must be valued as at the date of death; costs are awarded ag…
