Although the Assignment did not comply with Article 20s signature requirement, the sealing transferred the legal estate and, because the company underwent a members voluntary winding-up with the directors as joint liquidators who did not claim the property, there was no real risk of future assertion by the company; accordingly the defendants requisition was answered and the defendant was not entitled to rescind.
