The tribunal accepted the applicant's evidence that proxies were deposited but found no cogent evidence that the respondent intentionally withheld or destroyed the proxies; given the applicant's 19/115 shareholding even if its votes had been counted they could not have changed the outcome; therefore the applicant failed to discharge the burden to set aside the AGM resolutions and the application is dismissed.
