The court held that under PRC law the Committee lawfully sold VTI China’s shareholding in VTI Shanghai to Huarong under the special asset-management legislative scheme, that non-compliance with general approval and registration formalities did not render those transfers void, and that beneficial ownership vested on conclusion of the Huarong and Hantong agreements such that the Plaintiff became the beneficial owner and therefore has locus standi to sue.
