The court held that the JOLs/PLs made material misrepresentations and withheld material facts from the Cayman and Hong Kong courts, engaged in forum shopping to bypass the Hong Kong statutory winding-up regime, and thereby breached duties as officers of the court and fiduciaries; as a result the JOLs were ordered to bear the costs of the Official Receiver (HK$29,000) forthwith and their remuneration and costs related to the ex parte application are disallowed from recovery from the company's assets and must be paid personally by the JOLs.

Because no party claimed the chips, there was material casting doubt on the genuineness of the purported Maxon transaction, the chips were valued at HK$400,000 and there was risk of rapid market change, and because there was no benefit in maintaining the lease, the court concluded it was in the best interests of the company to grant the provisional liquidators leave to sell the chips and liberty to terminate the lease and ordered relief in terms of paragraphs 1–3 of the summons.

In the absence of any demonstrated serious or actual conflict arising from inter-company debts or related litigation, the court will exercise its discretion to appoint the same liquidators for the parent and subsidiary for reasons of convenience and the best interests of creditors; if conflict later arises the liquidator must seek directions from the court. Accordingly Messrs Lai and Haughey were appointed as joint and several liquidators and the committee of inspection was reduced and constituted to be representative.
