Clause 3 of the Tri-Party Agreement, using the word 'ensure' and referencing payment 'per terms and conditions of the Letter of Award', did not create a contractual obligation for the Second Defendant to pay the Sub-Contract sum on behalf of the First Defendant; the Tri-Party Agreement did not vary the Sub-Contract payment terms, enforcement would cause double payment and amount to undue preference in liquidation, and no express trust existed to confer priority; therefore the Plaintiff's claim fails on the balance of probabilities.
