On the evidence the transfers were procured by misrepresentation and misuse of the SKW, there was no credible proof of consideration or lawful authority to transfer; subsections 340(2)(a) and (b) NLC are satisfied, rendering the Defendant's registered title voidable and entitling the Plaintiffs to relief; the Defendant's counterclaim lacked evidential foundation and is dismissed.
