The Defendant, by virtue of her role as CEO and the pivotal managerial and financial functions she performed, owed fiduciary duties to RCSB; on the evidence the Plaintiff proved on the balance of probabilities that RM9,423,615.75 of the payments received by the Defendant were not justified or authorized and therefore were received in breach of fiduciary duty; the appropriate remedy is disgorgement of that sum with interest and costs.
