The defendant executed guarantees that, by express principal-debtor clauses and by his conduct in negotiating and consenting to the Settlement Agreements (including implied consent as director), made him primarily liable for CCI and CCH indebtedness; the Settlement Agreements preserved existing documents and did not discharge or vary away his obligations, therefore Sections 86/88 Contracts Act 1950 do not protect him and the Plaintiff is entitled to the declared sums.
