On the evidence the GCP was not finalised or agreed and was still subject to negotiation and amendment; there was no clear incorporation of the GCP into the LOI and therefore no valid and binding arbitration agreement existed between the parties, accordingly the s10 stay was not available and the stay application was dismissed.
