Although the applicant proved it was unable to pay its debts, it failed to prove on the balance of probabilities that a judicial management order would likely achieve any statutory purpose under s405(1)(b); evidence of funding, bona fides, full disclosure, and realistic prospects for rehabilitation was inadequate, and pending arbitration and abandonment of the project made JM not in creditors' best interests, therefore the application is dismissed.
