The court concluded that on the evidence there was a substantial prima facie case (deficient accounting records, repeated audit disclaimers, abrupt changes in solvency figures, late‑disclosed large inter‑company claims and the involvement of prior advisers as liquidators) demonstrating that continuation of the MVL would not be with due regard to creditors' interests; consequently conversion to a compulsory winding‑up and appointment of independent court liquidators was necessary.
