Plaintiff failed to prove oppression under s.346. The court found documents and audited accounts were made available to plaintiff or his authorised agent, plaintiff had authorised an agent to act and declined to cooperate in signing accounts, plaintiff held equal shareholding and failed to show distinct personal loss separate from the company; the impasse was caused by plaintiff's conduct and sale of assets before winding up was a legitimate step to protect company interests. Consequently the petition was dismissed with costs.
