Applicants failed to prove beyond reasonable doubt that the Proposed Contemnors wilfully disobeyed the August Order or intended to frustrate it: Proposed Contemnors lacked control or access to company property after the order, CCM forms were lodged in compliance, the allotment predated the August Order and was authorized by an AGM mandate and lawful business judgment, and the applicants failed to particularise the alleged withheld items; therefore committal could not be established and the application was dismissed.
