The Plaintiff failed to prove Minconsult is a family company or that any legitimate expectations to management participation existed; governance was by a 9-member board with independent professional directors, the Plaintiff retained all shareholder rights, and the conduct complained of were bona fide board-level management decisions—therefore no oppression under s.346.
