There was no evidence debts had been paid in full; the Letter of Guarantee contained express clauses (continuing guarantee, principal debtor clause, reservation of rights) making the guarantor primarily liable and preventing discharge by realization of third‑party security; therefore s105(1) annulment is not available and the JC is entitled to prove for the balance.
