The Respondent, a senior lawyer who chaired the EGM, had actual knowledge of the clear and mandatory High Court Order to convene an EGM to consider and if thought fit pass the requisitioned resolutions; she expressly and wilfully refused to allow deliberation and voting on the requisitioned motion, thereby committing contempt beyond reasonable doubt; procedural defects (lack of personal service or penal notice, non-party status) were dispensed with due to actual knowledge and the Order's unambiguous wording; alternative sanctions were appropriate given mitigating factors.

The High Court held the Commissioner acted within statutory powers under subparagraph 11(5) of the Second Schedule to the SMA 2013 because the applicant failed to hold annual AGMs, failed to convene an EGM within the statutory period after requisition, failed to file audited accounts and breached subparagraph 2(5) concerning office tenure; the Commissioner is not required to verify the detailed validity of requisitions before authorizing a person to convene an EGM, therefore the impugned decision was lawful, rational and procedurally proper.

The court held that Tiger Synergy’s decision to convene a competing EGM on a date anterior to a valid member‑convened EGM was an improper exercise of power and mala fide, caused confusion and wasted members’ resources, and that the Tiger Synergy resolutions were ineffective because they lacked the requisite special notice; accordingly the company‑called EGM was invalid and the member‑called EGM was protected by declaratory and injunctive relief.
