The counterclaim was dismissed because D1, having accepted and benefited from the 1977 sale (receipt of purchase price and court orders premised on the director status), is estopped from now denying the validity of the instruments; D1 also failed to provide evidence to rebut acquiescence and the 12‑year limitation for recovery of land applied, and the equitable relief sought was barred by laches and would constitute an abuse of process to allow after 41 years.
