The Court held the MLA 2013 satisfied the statutory definition of a franchise and ss.6 and 6A Franchise Act 1998 apply (including to foreign franchisors/master franchisees); failure to register was mandatory and rendered the MLA 2013 illegal and void under s.24 Contracts Act 1950; because the Guarantee and Power of Attorney formed part of the same composite transaction they were also tainted and void; appellant failed to plead or prove unjust enrichment; accordingly the appeal and cross-appeal were dismissed and costs ordered against the appellant.
