There was compelling prima facie evidence of dissipation and misappropriation by the second appellant — unauthorized RM30,000 monthly payments, diversion of scrap sale proceeds into a personal account, payments to the director's personal lawyers and removal of dual-signature safeguards — thereby placing company assets in jeopardy; accordingly the Court correctly upheld the appointment of an interim liquidator to preserve assets and evidence pending the winding-up petition.
