The Court of Appeal affirmed the High Court: s540 CA 2016 can be invoked in separate proceedings (not confined to the winding up court), 'carrying on business with intent to defraud' includes orchestrating litigation and winding-up tactics to avoid payment of debts, the evidence established defendants controlled the related companies, knowingly participated in the scheme and acted dishonestly, and the tort of conspiracy to injure and the claimed damages (general and exemplary) were properly awarded.
