The Defendant repudiated the JVA by conduct and failure to perform binding developer obligations (not renewing KM, not effecting land conversion, not diligently pursuing approvals including timely handling of IWK requirements) such that Plaintiffs validly treated the contract as terminated and are entitled to damages for the loss of the 30% interest in the projected units as valued by the Plaintiffs; credibility findings against the Defendant’s managing director supported this conclusion.
