The court refused specific performance and declaratory relief because the Letter of Intent required execution of a formal Share Purchase Agreement within specified timeframes which did not occur, the parties failed to reach consensus on material terms, and there was inordinate delay in commencing proceedings; consequently specific performance would unfairly coerce the Defendants. The court granted alternative relief in the form of a refund of monies advanced and awarded costs to the Defendants.
