The sale and purchase agreement and the supplementary agreement were contemporaneous parts of a single contract making the total purchase price RM1.6 million; the contract included a 'time is of the essence' clause; plaintiffs failed to pay the full RM1.6 million by the final extended deadline of 01.11.2020 and produced insufficient documentary evidence of any later extension or full payment; accordingly the defendant validly terminated the contract and the plaintiffs' claim for specific performance and related relief is dismissed while the defendant's counterclaim at para 110(d) is allowed.
