Because Plaintiff was the registered transferee who paid for the allotment, Defendants admitted they did not pay Plaintiff and failed to prove that Plaintiff held the shares on trust for DW3 or that any payment was made to DW3; therefore there was a total failure of consideration and Plaintiff is entitled to restitution of the 600,000 shares and costs.
