The court held the requisitions were validly made by the 6th Defendant acting on express board authority of the 5th Defendant and thus complied with ss310/311; the 1st Defendant's board meeting was valid where quorum existed and short notice for the EGM was properly consented to by corporate representatives; section 206(3) did not apply because removals of directors of the private subsidiaries were governed by their Articles and not removals "under" s206, therefore no special notice was required; there was no evidence of mala fides. Accordingly the originaning summons was dismissed.
