The Court of Appeal held that a Companies Winding Up Court may order costs against a non-party where the non-party has been warned and the circumstances justify personal liability; the respondent here acted as the directing mind in opposing the petition, was warned of possible personal costs, and therefore the High Court erred in setting aside the costs order as void under the Companies Act; accordingly the appeal is allowed and the High Court decision dated 16.6.2021 is set aside and costs on appeal awarded to the appellant.
